Terms of Service
Welcome to Praece. These Terms of Service (“Terms”) govern your access to and use of the Praece mobile application and related services (the “Service”). By creating an account or using Praece, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use Praece. If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed these Terms and agrees to them on your behalf. The Service is not directed to children under 13, and we do not knowingly allow such users to register.
2. Your Account
You are responsible for the activity on your account and for keeping your login credentials secure. You agree to provide accurate information when registering and to keep that information current. You may close your account at any time from inside the app; doing so will remove your login and anonymize your historical content as described in our Privacy Policy.
3. User-Generated Content
Praece lets you upload videos, record audio commentary, draw on videos, exchange messages with coaches or students, and create coach profiles. You retain ownership of the content you create or upload (“User Content”). By submitting User Content, you grant Praece a worldwide, non-exclusive, royalty-free license to host, store, transmit, transcode, and display that content solely for the purpose of operating and improving the Service.
You represent that you have the right to upload and share any User Content you submit, and that the content does not infringe the rights of any third party.
4. Prohibited Conduct — Zero Tolerance for Objectionable Content
You agree that you will not use the Service to:
- Post, upload, or transmit content that is unlawful, obscene, sexually explicit, hateful, harassing, defamatory, or otherwise objectionable.
- Harass, bully, threaten, intimidate, impersonate, or otherwise abuse any other user.
- Promote violence, self-harm, terrorism, or illegal activity.
- Post content that infringes intellectual property, privacy, publicity, or other rights of any third party.
- Send spam, phishing attempts, or unsolicited commercial messages.
- Attempt to access accounts, content, or systems that do not belong to you.
- Reverse engineer, scrape, or otherwise misuse the Service.
- Use the Service to circumvent Praece’s payment processing for coach services.
5. Reporting and Blocking
If you encounter objectionable content or abusive users, you can report them from inside the app using the “Report” action available on user profiles, messages, and uploaded content.
You may also block any user. When you block a user, their content will no longer appear to you, and they will be prevented from contacting you through the Service.
Praece commits to reviewing every report and acting on objectionable content within 24 hours. Action may include removing the offending content and ejecting the responsible user from the Service.
6. Moderation and Enforcement
Praece reserves the right (but is not obligated) to monitor, review, edit, or remove any User Content at our discretion. We may suspend or terminate any account, with or without notice, for violations of these Terms or for any conduct that we determine, in our sole discretion, to be harmful to other users, to the Service, or to Praece.
7. Coach Services and Payments
Coaches on Praece may offer paid analysis services. Payments to coaches are processed through Stripe Connect; coaches must complete Stripe’s onboarding and accept Stripe’s connected-account agreement, which is incorporated by reference. Praece is not a party to the contract between a coach and a student, and is not responsible for the quality, accuracy, or timeliness of any individual coach’s feedback.
Payouts. Coach earnings are paid to the coach’s Stripe connected account after any applicable review period, and are paid out on a schedule controlled by Praece. Praece deducts its platform fee and the payment-processing cost of each transaction, both as described at the time of sale, from the coach’s share; the student pays the listed price and no additional fee.
Refunds, reversals, and recoupment. If a transaction is refunded, becomes the subject of a payment dispute or chargeback, or is reasonably suspected to be fraudulent or in violation of these Terms, Praece may withhold, offset, or reverse the corresponding coach payout, including after it has been credited to the coach’s connected account. While a payment dispute is open, the related payout is placed on hold. If the dispute is resolved in the coach’s favor, the held amount is released to the coach; if it is resolved against the transaction, the held amount is forfeited. Where a payout has already been withdrawn, the coach authorizes Praece and Stripe to recover the corresponding amount by deducting it from future earnings or, where supported, debiting the connected account’s linked bank account. Praece currently does not pass payment-processor dispute fees on to coaches; we reserve the right to change this with prior notice.
Excessive disputes. Coaches whose transactions generate an elevated rate of refunds, disputes, or chargebacks may be subject to payout holds or reserves, reduced visibility in the coach directory, or account suspension or termination, following a review. A single dispute resolved against a coach does not by itself result in penalties.
Illegitimate payment disputes. If a student files a card dispute for a service that was delivered as described — instead of using the in-app dispute and refund process — Praece may restrict or terminate that account and contest the dispute with evidence of delivery.
8. Intellectual Property
The Praece name, logo, app, and all related materials (excluding User Content) are owned by Praece and protected by intellectual property laws. You may not use the Praece name or branding without our prior written permission.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Praece does not warrant that the Service will be uninterrupted, error-free, or secure, or that any feedback provided by coaches will produce any particular result.
Praece is a martial arts training tool. It is not medical advice, and coach feedback is not a substitute for in-person instruction or medical guidance. You are responsible for your own physical safety.
10. Limitation of Liability
To the fullest extent permitted by law, Praece and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Praece’s total liability to you for any claim shall not exceed the amount you paid Praece in the twelve months preceding the claim, or one hundred US dollars, whichever is greater.
11. Indemnification
You agree to indemnify and hold harmless Praece and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your use of the Service, or your violation of these Terms.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) will survive.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will notify you through the app or by email. Your continued use of the Service after the effective date of an updated version constitutes acceptance of the changes.
